Terms of Service

These Terms of Service (the "Terms") constitute a legally binding agreement between you ("you," "your," or the "Subscriber") and Foggy Froggy Networks ("Foggy Froggy Networks," "we," "us," or "our"), a virtual private network (VPN) service provider founded in 2026 and operating under the slogan "Stay in the fog!" By creating an account, purchasing a subscription, installing our client software, or otherwise accessing or using any portion of the Foggy Froggy Networks service (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

1. Description of the Service

Foggy Froggy Networks provides an encrypted VPN service designed to protect the privacy and security of your internet traffic. The Service offers connection speeds of up to 1 Gbps per connection, an average network latency of 30 to 50 milliseconds, full IPv6 readiness, DNS leak protection, IPv6 leak protection, and a strict no-logs policy as further described in our No-Logs Policy and Privacy Policy. Our infrastructure runs on AMD EPYC servers equipped with NVMe SSD storage and ECC RAM, with fewer than 100 users assigned per node. We operate servers in 17 countries: the United States, Canada, the United Kingdom, Germany, the Netherlands, France, Switzerland, Sweden, Finland, Poland, Singapore, Japan, South Korea, Australia, India, Brazil, and Turkey. Our infrastructure is monitored 24 hours a day, 7 days a week, and we target service availability of 99.9% or higher, subject to Section 6 below.

2. Eligibility

You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction of residence if higher, to create an account or purchase a subscription. By using the Service, you represent and warrant that: (a) you meet the foregoing age requirement; (b) you have the legal capacity to enter into a binding contract; (c) you are not located in, and will not use the Service from, any jurisdiction where use of the Service is prohibited by applicable law; and (d) you are not a person barred from receiving services under the laws of the United States or any other applicable jurisdiction. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to both you and that organization.

3. Account Registration and HWID Device Binding

To use the Service, you must register an account with a valid email address and maintain accurate account information. You are solely responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use of your account.

The Service uses a hardware-identifier licensing model in which one hardware identifier equals one device (1 HWID = 1 Device). When our client software is activated on a device, a hardware identifier derived from that device is bound to one device slot on your subscription. A device slot remains occupied by the bound HWID until it is released or reassigned in accordance with our published procedures. You may not spoof, forge, rotate, or otherwise manipulate hardware identifiers in order to circumvent device limits, and you may not share device slots with persons outside your household or organization except as expressly permitted by your plan tier. We reserve the right to limit the frequency of HWID reassignments to prevent abuse of the device licensing model.

4. Subscription Plans, Billing, and Renewal

The Service is offered under the following subscription plans, each defined by the maximum number of simultaneously bound devices:

• SOLO — up to 5 devices: $10 for 1 month, $28 for 3 months, $54 for 6 months, $96 for 12 months.
• FAMILY — up to 20 devices: $20 for 1 month, $56 for 3 months, $108 for 6 months, $192 for 12 months.
• PRO — up to 50 devices: $30 for 1 month, $84 for 3 months, $162 for 6 months, $288 for 12 months.
• CORPORATE — up to 250 devices: $60 for 1 month, $168 for 3 months, $324 for 6 months, $576 for 12 months.

All prices are stated in United States dollars and are exclusive of any applicable taxes, duties, or payment-processor fees, which are your responsibility unless required otherwise by law. Payment is due in full at the beginning of each subscription term. Where automatic renewal is enabled, your subscription will renew at the end of each term at the then-current price for your plan unless you cancel before the renewal date. Cancellation stops future billing but does not, by itself, entitle you to a refund of amounts already paid. Any refunds are governed by the refund terms published at the time of your purchase and by applicable consumer-protection law. We may change plan pricing prospectively; price changes will not affect a term you have already paid for and will apply only from your next renewal.

5. Acceptable Use

You agree to use the Service only for lawful purposes. Without limiting the foregoing, you must not use the Service to: (a) violate any applicable law or regulation; (b) infringe the intellectual property, privacy, or other rights of any third party; (c) transmit malware, conduct phishing, or operate botnets or command-and-control infrastructure; (d) launch denial-of-service attacks, port scans, or unauthorized intrusion attempts against any network or system; (e) send unsolicited bulk communications (spam); (f) access, store, or distribute child sexual abuse material or any other unlawful content; (g) engage in fraud, including payment fraud and identity theft; or (h) resell, sublicense, or commercially redistribute the Service without our prior written consent. Because we operate under a strict no-logs policy, we do not monitor the content of your traffic; however, we may act on credible abuse reports and may suspend or terminate accounts associated with verified violations of this Section. You remain solely responsible for your conduct while connected to the Service.

6. Service Levels and Availability

We target uptime of 99.9% or higher across our network, supported by 24/7 infrastructure monitoring, redundant hardware, and a policy of assigning fewer than 100 users per node to preserve performance headroom. Stated speeds of up to 1 Gbps per connection and average latency of 30 to 50 milliseconds are engineering targets measured under typical conditions; actual performance depends on your internet service provider, local network, distance to the selected server, device capabilities, and network conditions beyond our control. The Service may be temporarily unavailable during scheduled maintenance, emergency maintenance, or events outside our reasonable control. Except where required by applicable law, service-level targets are goals and do not create a right to compensation.

7. Software License

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use our client software on the number of devices permitted by your plan, solely to access the Service. You may not reverse engineer, decompile, disassemble, modify, or create derivative works of the software except to the extent such restrictions are prohibited by applicable law. All rights not expressly granted are reserved by Foggy Froggy Networks.

8. Intellectual Property

The Service, including all software, server configurations, documentation, text, graphics, logos, the "Foggy Froggy Networks" name, and the slogan "Stay in the fog!", is owned by Foggy Froggy Networks or its licensors and is protected by copyright, trademark, and other intellectual-property laws. Nothing in these Terms transfers any ownership interest to you. You may not use our name, marks, or branding without our prior written permission, except for accurate, non-misleading references to the Service.

9. Suspension and Termination

You may stop using the Service and cancel your subscription at any time through your account settings or by contacting support. We may suspend or terminate your access, with or without notice, if: (a) you materially breach these Terms, including the Acceptable Use provisions of Section 5; (b) you manipulate HWID bindings to exceed your device allowance; (c) payment for your subscription fails or is reversed; (d) we are required to do so by law; or (e) continued provision of the Service to you creates a security, legal, or operational risk to us or to other subscribers. Upon termination, your license to use the client software ends, and your bound devices will be disconnected from the network. Sections of these Terms that by their nature should survive termination — including Sections 8, 10, 11, 12, and 13 — will survive.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, THAT ANY PARTICULAR SPEED OR LATENCY WILL BE ACHIEVED AT ALL TIMES, OR THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS. NO VPN CAN GUARANTEE ABSOLUTE ANONYMITY; YOUR OWN PRACTICES AND THE SOFTWARE YOU RUN ALSO AFFECT YOUR PRIVACY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL FOGGY FROGGY NETWORKS, ITS OFFICERS, EMPLOYEES, CONTRACTORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify, defend, and hold harmless Foggy Froggy Networks and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Service; (b) your violation of these Terms, including the Acceptable Use provisions; (c) your violation of any applicable law or the rights of any third party; or (d) content or traffic transmitted through the Service by you or by any person using your account or your bound devices. We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.

13. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Wyoming, United States of America, without regard to its conflict-of-laws principles. Subject to any mandatory consumer-protection rights available in your jurisdiction of residence, you and Foggy Froggy Networks agree to submit to the exclusive jurisdiction of the state and federal courts located in Park County, Wyoming, USA. Before filing any formal claim, you agree to first contact us in writing and allow thirty (30) days for informal resolution.

14. Changes to These Terms

We may revise these Terms from time to time. When we make material changes, we will update the "Last Updated" date above and provide reasonable advance notice, such as by email to your registered address or by an in-service notification. Changes become effective on the date stated in the notice. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree with a change, your remedy is to cancel your subscription before the change takes effect.

15. Severability, Waiver, and Entire Agreement

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision. These Terms, together with our Privacy Policy and No-Logs Policy (each referenced here by name), constitute the entire agreement between you and Foggy Froggy Networks regarding the Service and supersede all prior agreements and understandings on the subject. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets, subject to our privacy commitments.
